This Conflicts of Interest Practice Guide has been developed by the Institute of Directors NZ to help those involved in governance to recognise, declare and manage conflicts of interest.

Boards need to have procedures in place to deal with conflicts of interest. These procedures consist of three steps:

  • Identify conflicting interest in a director's role or responsibilities
  • Declare the conflict to the board and record it in the organisation's interest register
  • Manage - what course of action should be taken?

The guide explains what a conflict of interests is, describes the three procedural steps and includes a template for recording conflicts of interest.
